About One Person Company Registration
A One Person Company (OPC) lets a single founder run a business as a company, with limited liability and a separate legal identity, without needing a second shareholder. The sole member must name a nominee who would become the member if the original member dies or becomes incapable of contracting.

Eligibility and Applicability
- Only one member (shareholder), who must be a natural person
- Currently, the member and the nominee must be Indian citizens and resident in India, as defined in the rules
- A person can generally be a member or nominee of only one OPC at a time
- At least one director, who can be the member; a Digital Signature Certificate and Director Identification Number are needed
- OPCs are currently not permitted to carry out certain activities, such as non-banking financial investment activities
OPC rules were relaxed in recent years and may change again. Minors, companies and non-resident individuals face restrictions on forming OPCs. Please confirm the current conditions, and note that the Registrar decides on approval.

What is the role of the nominee?
The nominee would become the member of the OPC if the sole member dies or becomes incapable of contracting. The nominee does not take part in day-to-day management unless they are also appointed as a director.

Can a non-resident Indian form an OPC?
The rules currently require the member and nominee to be Indian citizens resident in India, with residency defined by the number of days spent in India. Please check the current definition before applying.
