A Limited Liability Partnership (LLP) combines the flexibility of a partnership with a separate legal identity and limited liability for its partners. It is often chosen by professionals, consultancies and small businesses run by two or more partners who want fewer formalities than a company.
LLPs are incorporated on the Ministry of Corporate Affairs (MCA) portal. An LLP is a separate legal entity and its partners generally have limited liability, while partners in a traditional partnership firm are generally personally liable for the firm's debts. An LLP is registered with the MCA, while a partnership firm is registered with the state Registrar of Firms.
There is currently no general minimum contribution requirement. Partners agree on their contributions, which are recorded in the incorporation form and LLP agreement.
LLPs generally file an annual return and a statement of account and solvency with the MCA, along with income tax returns. Due dates are set by law and can change, so they should be checked each year.
