About Annual Compliance Support

Registering a company or LLP is only the first step. Every year, it has to file its financial statements and annual return with the Registrar of Companies, keep director details updated and record key decisions in board and general meetings. These filings are required even if the business had little or no activity during the year, and late filing generally attracts additional fees.

We track the annual compliance calendar for your company or LLP, prepare the forms and supporting documents, coordinate board and AGM minutes with you, and file the forms on the MCA portal after your approval. The financial statements themselves are audited by an independent practising Chartered Accountant appointed as your statutory auditor; we do not perform the audit.

Eligibility and Applicability

  • Companies: financial statements in Form AOC-4, generally within 30 days of the annual general meeting
  • Companies: annual return in Form MGT-7, or MGT-7A for OPCs and small companies, generally within 60 days of the annual general meeting
  • Companies: appointment of the statutory auditor and the related ADT-1 filing, where applicable
  • Directors: DIR-3 KYC or DIR-3 KYC-WEB, at the frequency and by the due date currently notified by the MCA
  • LLPs: Statement of Account and Solvency in Form 8, generally due by 30 October, and Annual Return in Form 11, generally due by 30 May

Due dates and forms are set by the Ministry of Corporate Affairs and are sometimes extended or revised by notification. Please confirm the current due dates on the MCA website or with us before relying on them.

Government fees and charges

MCA filing fees are prescribed by the government and are separate from our fee. Additional fees for late filing are charged by the MCA, and the statutory auditor's fee is also separate.

Do you audit our financial statements?

No. The statutory audit must be carried out by an independent practising Chartered Accountant. We coordinate with your auditor and handle the annual filings once audited financials are available.

Our company had no business this year. Do we still need to file?

Generally, yes. Annual filings are required for active companies and LLPs regardless of turnover. Options such as dormant status or closure have their own conditions, which we can explain.

What happens if we miss a due date?

Late filing generally attracts additional fees for each day of delay, and continued non-compliance can lead to further consequences for the entity and its directors. It is usually best to bring pending filings up to date as soon as possible.

Can you help with filings from previous years?
